Terms of Service

By accessing or using Canadian Online Watch (the “Site”), you agree to be bound by these Terms of Service (the “Terms”). If you are using the Site on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.

You must be at least 16 years old to use the Site. If you are under the age of majority where you live, you represent that you have the permission of a parent or legal guardian to use the Site and that the parent or guardian agrees to these Terms on your behalf. We do not knowingly design the Site to solicit personal information from children under 16.

Your continued use of the Site after changes to these Terms (see Section 14) constitutes acceptance of the updated Terms. If you do not agree to the Terms at any time, you must stop using the Site.

Canadian Online Watch provides news-style monitoring and explanatory coverage of topics gaining attention in Canada’s digital environment. Content may include summaries of public discussion patterns, definitions of commonly searched terms, and context about why certain online platforms, services, or features are being discussed at a given time.

The Site is intended for general information and reading purposes. It is not a substitute for professional advice, and it should not be relied upon as the only source when making legal, financial, security, or business decisions. Where relevant, we encourage readers to consult official documentation from the platform, service provider, or public authority involved.

The Site may offer features such as a contact form and an email update signup. We may add, remove, or change sections of the Site (for example, the way topics are categorized or presented) as part of normal product and editorial improvement.

• Using the Site to publish or distribute illegal content or content that is clearly intended to facilitate wrongdoing.

We may investigate suspected violations and may suspend or restrict access as described in Section 13. We may also report unlawful activity to appropriate authorities when required or appropriate.

The Site and its content, including text, layout, design, graphics, logos, and code, are owned by Northern Signal Media Inc. or licensed to it and are protected by applicable intellectual property laws. “Canadian Online Watch” and related branding are trademarks or trade names of Northern Signal Media Inc.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial reading and informational use. This license does not permit you to reproduce, republish, sell, rent, distribute, or create derivative works from the Site content without our prior written consent, except for uses permitted by applicable law (for example, fair dealing/fair use where it applies).

If you provide feedback, suggestions, or corrections, you grant us the right to use that information without restriction for the purpose of improving the Site, while respecting our Privacy Policy.

The Site may reference third-party platforms, products, services, or websites for context. These references do not imply endorsement. Any third-party names and trademarks are the property of their respective owners.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free from harmful components. We do not warrant that any content is complete, timely, or suitable for any particular purpose. Online attention and discussion patterns can change quickly, and content may become outdated.

Some jurisdictions do not allow the exclusion of certain warranties, so portions of this section may not apply to you. In such cases, the disclaimers will apply to the maximum extent permitted by applicable law.

To the fullest extent permitted by law, Northern Signal Media Inc. and its directors, officers, employees, contractors, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or other intangible losses arising out of or relating to your access to or use of (or inability to access or use) the Site, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, our total liability for direct damages arising out of or relating to these Terms or the Site will not exceed the amount paid by you to us for the Site in the twelve (12) months preceding the event giving rise to the claim, or €100, whichever is lower. If you have not paid any amounts to us in that period, our liability will be limited to €100.

This limitation applies to any theory of liability, whether based on contract, tort (including negligence), strict liability, or otherwise, and even if a remedy fails of its essential purpose.

You agree to defend, indemnify, and hold harmless Northern Signal Media Inc. and its directors, officers, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:

• Your violation of these Terms.
• Your misuse of the Site.
• Your infringement of any intellectual property or other rights of any person or entity.
• Any content or information you submit through Site forms or communications.

We may assume control of the defense of any matter subject to indemnification, in which case you agree to cooperate with our defense and settlement efforts.

Our Privacy Policy explains how we collect, use, disclose, and retain personal information and how cookie choices work. The Privacy Policy is incorporated into these Terms by reference.

If you choose to contact us or subscribe to email updates, you agree that we may process the information you provide in accordance with the Privacy Policy. Your cookie preferences can be managed through the cookie banner and browser settings.

These Terms and any dispute arising out of or relating to the Site will be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.

You agree that the courts located in Toronto, Ontario, will have exclusive jurisdiction over any disputes, claims, or proceedings arising out of or relating to these Terms or the Site, and you consent to venue in those courts.

Before filing a claim, you agree to attempt informal resolution by contacting us and describing the issue. We will attempt to resolve disputes in good faith within thirty (30) days after receiving your notice. If we cannot resolve the dispute within that period, either party may pursue a claim in the courts specified above.

We may suspend or terminate your access to the Site at any time, with or without notice, if we reasonably believe you have violated these Terms, if your use creates risk for other users or for the Site, or if we are required to do so to comply with law.

You may stop using the Site at any time. If you are subscribed to email updates, you can unsubscribe using the unsubscribe option provided in the messages.

The following sections will survive termination: Intellectual Property (Section 6), Disclaimer of Warranties (Section 8), Limitation of Liability (Section 9), Indemnification (Section 10), Governing Law and Dispute Resolution (Section 12), and any other provisions that by their nature should survive.

We may update these Terms from time to time to reflect changes to the Site, legal requirements, or operational practices. Changes become effective fourteen (14) days after we post the updated Terms on this page, unless a change is required by law to take effect sooner.

We may provide additional notice for material changes, such as a banner on the Site. Your continued use of the Site after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Site.
