1. Acceptance and eligibility

6. Intellectual property
The Site and its content, including text, layout, design, graphics, logos, and code, are owned by Northern Signal Media Inc. or licensed to it and are protected by applicable intellectual property laws. “Canadian Online Watch” and related branding are trademarks or trade names of Northern Signal Media Inc.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial reading and informational use. This license does not permit you to reproduce, republish, sell, rent, distribute, or create derivative works from the Site content without our prior written consent, except for uses permitted by applicable law (for example, fair dealing/fair use where it applies).
If you provide feedback, suggestions, or corrections, you grant us the right to use that information without restriction for the purpose of improving the Site, while respecting our Privacy Policy.

9. Limitation of liability
To the fullest extent permitted by law, Northern Signal Media Inc. and its directors, officers, employees, contractors, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or other intangible losses arising out of or relating to your access to or use of (or inability to access or use) the Site, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by law, our total liability for direct damages arising out of or relating to these Terms or the Site will not exceed the amount paid by you to us for the Site in the twelve (12) months preceding the event giving rise to the claim, or €100, whichever is lower. If you have not paid any amounts to us in that period, our liability will be limited to €100.
This limitation applies to any theory of liability, whether based on contract, tort (including negligence), strict liability, or otherwise, and even if a remedy fails of its essential purpose.
10. Indemnification
You agree to defend, indemnify, and hold harmless Northern Signal Media Inc. and its directors, officers, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:
- Your violation of these Terms.
- Your misuse of the Site.
- Your infringement of any intellectual property or other rights of any person or entity.
- Any content or information you submit through Site forms or communications.
We may assume control of the defense of any matter subject to indemnification, in which case you agree to cooperate with our defense and settlement efforts.

12. Governing law and dispute resolution
These Terms and any dispute arising out of or relating to the Site will be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
You agree that the courts located in Toronto, Ontario, will have exclusive jurisdiction over any disputes, claims, or proceedings arising out of or relating to these Terms or the Site, and you consent to venue in those courts.
Before filing a claim, you agree to attempt informal resolution by contacting us and describing the issue. We will attempt to resolve disputes in good faith within thirty (30) days after receiving your notice. If we cannot resolve the dispute within that period, either party may pursue a claim in the courts specified above.
13. Termination and suspension
We may suspend or terminate your access to the Site at any time, with or without notice, if we reasonably believe you have violated these Terms, if your use creates risk for other users or for the Site, or if we are required to do so to comply with law.
You may stop using the Site at any time. If you are subscribed to email updates, you can unsubscribe using the unsubscribe option provided in the messages.
The following sections will survive termination: Intellectual Property (Section 6), Disclaimer of Warranties (Section 8), Limitation of Liability (Section 9), Indemnification (Section 10), Governing Law and Dispute Resolution (Section 12), and any other provisions that by their nature should survive.
14. Modifications to these Terms
We may update these Terms from time to time to reflect changes to the Site, legal requirements, or operational practices. Changes become effective fourteen (14) days after we post the updated Terms on this page, unless a change is required by law to take effect sooner.
